The shape of the work
Individual matters are confidential and are not published in identifiable form. What follows is the kind of work the firm does, by category, and two examples of it.
International business and market entry
Setting up the Israeli side of a foreign group: incorporating companies, registering branches and local operations, drafting constitutional documents and shareholder arrangements, and putting governance in place. Work of this kind runs alongside the client's accountants and tax advisers, and usually continues as ongoing counsel once the entity is operating.
Banking and cross-border payments
Preparing the file an Israeli bank requires: source of funds and source of wealth documentation, an account of corporate structure and ownership, and the contracts behind a transfer. The firm answers compliance reviews and information requests, and acts where a transfer is delayed, refused or frozen, or an account is restricted. Whether an account is opened or a transfer approved is the bank's decision, and we do not promise it.
Commercial agreements
Drafting and negotiating the contracts that carry a foreign business's Israeli activity: supply and service agreements, distribution and agency arrangements, joint ventures and partnership terms. The work includes the negotiation itself and the allocation of risk a foreign counterparty is asked to accept under Israeli law.
Litigation and enforcement
Commercial claims and contract disputes, shareholder and partnership disputes, debt recovery and enforcement proceedings, and urgent applications where waiting would cost the client the subject matter. The firm appears for foreign parties before the Israeli courts and tribunals, and acts in the enforcement of foreign judgments in Israel.
Regulatory and administrative matters
Licensing and permits, the requirements that attach to a particular activity, administrative proceedings, and challenges to decisions of Israeli authorities. This covers representation before ministries and government bodies both while an application is pending and after a decision has gone against the client.
Corporate immigration
Work permits for foreign experts and specialists, the employment arrangements that go with them, and the relocation of executives and their families. The firm acts before the Population and Immigration Authority and advises the employer on the Israeli employment obligations that follow.
Real estate
Acquisitions and sales of Israeli property by foreign buyers and investors: due diligence on the property and on the seller, purchase and sale agreements, registration of rights, and the banking and payment coordination a purchase from abroad requires. The firm also acts in real estate disputes and in development and investment projects.
Private clients and global mobility
Residency and citizenship matters, international relocation of business owners and their families, cross-border family matters, and Israeli assets and inheritance where the estate or the heirs are outside Israel. Work of this kind is coordinated with the client's lawyers and advisers in other jurisdictions.
Two examples
Both are published in anonymised form: what the client came with, what the firm did, and how the procedure ended. Neither is a promise — what a bank, a ministry or a court decides is theirs to decide.
A compliance review on a delayed transfer
A foreign-owned company held an account with an Israeli bank, and an incoming transfer was held while the bank's compliance department reviewed where the money had come from. The firm assembled the file a bank asks for in that situation: the chain of ownership up to the individuals behind the company, the contracts and invoices the payment answered to, and the confirmations available from the paying bank. We answered the compliance department's questions in Hebrew as they came, and stayed on the file until the review was closed and the bank gave its decision.
Setting up the Israeli side of a foreign group
A foreign group decided to run its Israeli activity through a company of its own rather than through a local agent. The firm advised on the form that entity should take, incorporated it, drafted the constitutional documents and the arrangements between the parent and the people who would run the business here, and made the registrations the activity required. The work ran alongside the client's accountants, who took the tax and reporting side. The registration went through, the company began operating, and the firm stayed on as its Israeli counsel.
